Long
term general legal counsel services
| 1) |
Assist
and advise the client in properly observing relevant
laws and regulations and provide legal opinions for
major business decisions; |
| 2) |
Draft,
review and revise legal documents (such as contract
documents), provide model legal documents and attend
negotiations and drafting of major contract documents; |
| 3) |
Participate in major economic activities involving corporate
rights and interests such as new entity set-up, merger
and split, investment, leasing, asset transfer, joint
venture operations or corporate restructuring and engage
in non-litigation legal matters; |
| 4) |
Process
for registration with the relevant administration of
industry and commerce and administration of taxation
and engage in protection of trademarks, patent and trade
secrets; |
| 5) |
Participate
in commercial negotiations, perform feasibility studies
and investigation; |
| 6) |
Upon
engagement by legal representatives, representing, as
a first priority, clients in litigation and arbitration
proceedings; |
| 7) |
Provide
legal training and popularization of legal knowledge
to the employees of clients; |
| 8) |
Provide
to clients the most up-to-date legal information and
documents; |
| 9) |
Engage
related experts to hold in-house seminars over special
legal issues encountered by the clients and provide
legal opinions; |

Assist
clients in setting up internal management system and
deal with relevant legal issues. |
The above represents
a short overview of the legal services the firm provides
to clients. Where the clients desire any of the above long
term general legal counsel services or desire any special
legal services, the following special legal services shall
serve as a guide.

Where the clients
desire any of the above long term general legal counsel
services or desire any special legal services, the following
special legal services shall serve as the guide. Such special
legal services shall include but shall not be limited to
the following:

Upon request, advise the client under Chinese laws and
international practices, and issue legal opinions regarding
the interpretation and applicability of Chinese laws
and regulations; |

Upon
request, issue legal opinions or legal memorandum over
major issues; |
| 3) |
Participate in negotiations and issue legal analysis
opinions within the scope of our legal services; |
| 4) |
Draft,
revise and review various legal documents including
contracts, articles of associations and provide legal
opinions; |
| 5) |
Upon
request, participate in investigations and issue investigation
report; |
| 6) |
Upon authorization, make legal announcements or issue
legal letters; |
| 7) |
Serve
as legal witness for clients and issue legal witness
certificate; |
| 8) |
Represent
clients in resolution of various economic disputes,
such as negotiation, mediation, arbitration and litigation,
and issue legal work reports; |
| 9) |
Provide
clients with legal information and their employees with
general or special legal training; |
| 10) |
Other
legal services as requested by the client. |
